MTN Group has revealed plans for a major restructuring of its board of directors, appointing five independent non-executive directors as part of its comprehensive succession strategy.
These appointments, which will take effect on 31 March 2026, include Herman Bosman, Adv Ouma Rasethaba, Stephane Richard, Ignatius Sehoole, and Saf Yeboah-Amankwah.
Herman Bosman, the current chairman of MTN Group Fintech, has previously served as CEO of RMB Holdings and RMI Holdings, bringing a wealth of experience in financial services, corporate finance, and mergers and acquisitions.
Advocate Ouma Rasethaba has an impressive background, having served as South Africa’s former deputy national director of public prosecutions and as head of the Asset Forfeiture Unit. She has also been the chief governance officer and chief risk officer at Telkom.
Stephane Richard’s previous role was as group CEO of Orange, a leading global telecommunications operator, where he successfully spearheaded the company’s growth throughout Europe, Africa, and the Middle East.
Ignatius Sehoole, a former CEO of KPMG in South Africa, also served as executive president at Saica and brings significant experience from the telecom sector.
Saf Yeboah-Amankwah recently served as senior vice president and chief strategy officer at Intel and as a senior partner at McKinsey & Company, where he led projects in technology, media, and telecommunications.
MTN Group announced that the board size will temporarily increase to include these new members, with plans to gradually downsize as existing directors retire and succession plans unfold.
Long-serving members Stan Miller and Nkululeko Sowazi, who have been on the board since August 2016, will step down at the annual general meeting scheduled for 29 May 2026, after more than 9 years of dedicated service.
In a separate development, Mike Harper will resign as chairman of the MTN South Africa board on 31 March 2026, a position he has held since 2016. As previously disclosed, Sindi Mabaso-Koyana will succeed him in this role. Harper will remain on the MTN SA board until 31 July 2026 to ensure a smooth transition.
Noluthando Gosa, currently serving as an independent non-executive director on the MTN Group board, will also transition to the MTN SA board as a non-executive director following the completion of governance processes. Both Mabaso-Koyana and Gosa will retain their positions as directors of MTN Group.
